Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website www.breadandlaw.com and the products offered under the “Tools for Communicators” umbrella — currently Cited (breadandlaw.com/cited), The Loop (with its pixel-track service at t.breadandlaw.com), and Is It News? (together, the “Services”), provided by Bread & Law LLC (“Bread & Law,” “we,” “us,” or “our”). By creating an account, subscribing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and using the Services for business or professional purposes. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. The Services and license
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use The Loop and to access the related Services for your internal business use. We and our licensors retain all right, title, and interest in and to the Services, including all intellectual property. You may not (a) resell, sublicense, or redistribute the Services; (b) reverse engineer, decompile, or attempt to extract source code or secrets except to the extent this restriction is prohibited by law; or (c) remove or alter any proprietary notices. Open-source components we publish (such as Is It News?) are governed by their own licenses (for example, the MIT License), which control over these Terms for those components.
3. Accounts and license keys
Access to paid features is governed by a per-customer license key. You are responsible for keeping your license key and account credentials confidential, and for all activity under them. Do not share your license key. We may suspend or revoke a license key that is shared, abused, or used in violation of these Terms.
4. Subscription, pricing, and billing
- Pricing. The Loop subscription is $49 for the first three (3) months, then $49 per month thereafter, unless otherwise stated at checkout.
- Auto-renewal. After the initial three-month term, the subscription renews automatically each month until you cancel. Payments are processed by Stripe; by subscribing, you authorize recurring charges to your payment method.
- Taxes. Prices are exclusive of any applicable taxes, which may be added.
- Price changes. We may change pricing on a prospective basis with reasonable advance notice; changes take effect on your next renewal.
5. Cancellation and refunds
- You may cancel at any time through the Stripe customer portal.
- Cancellation stops future renewals; your access continues until the end of the period you have already paid for.
- Charges already made are non-refundable, except where a refund is required by law.
6. Your responsibilities and acceptable use
You are solely responsible for how you use the Services, including the tracking features. You agree that:
- You will comply with all laws applicable to your outreach and tracking, including email, privacy, and electronic-communications laws (for example, CAN-SPAM, GDPR, and ePrivacy rules) in your and your recipients’ jurisdictions.
- You have any rights, notices, or consents necessary to send the emails you send and to log and process their opens (including recipient IP addresses).
- You will not use the Services for unlawful, deceptive, harassing, or abusive purposes, to send spam, or to track individuals in violation of applicable law.
As between you and Bread & Law, you are the controller of the recipient data generated by your tracking, and Bread & Law processes it on your behalf (see our Privacy Policy).
7. Accuracy of tracking and assessments (no guarantee)
Email-open tracking is inherently imperfect. Mail providers prefetch, cache, block, or strip tracking pixels; some opens are never recorded, and some pixel loads are automated rather than human. The Loop applies filtering to reduce automated noise, but we do not warrant that open, read, or response data is complete, accurate, or reflects actual human attention. You should not rely on it as the sole basis for any material decision.
Cited assessments are likewise point-in-time and not guarantees. Cited reports what public signals and real-platform probes indicated at a moment in time; access can change, some results are deliberately reported as inconclusive, and we do not warrant that an assessment is complete or that any AI platform’s behavior will persist.
8. Third-party services
The Services rely on third parties (including Stripe, Neon, Turso, Vercel, Inngest, ip-api.com, and Fontshare). Your use of those services may be subject to their terms, and we are not responsible for third-party services.
9. Availability and changes
The Services are provided on an evolving basis. We may modify, suspend, or discontinue features at any time, and we do not guarantee uninterrupted or error-free operation. We will use reasonable efforts to avoid unnecessary disruption to paid features.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREAD & LAW WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to indemnify and hold harmless Bread & Law from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your outreach and tracking activities, or your violation of these Terms or applicable law — including claims brought by recipients of your tracked emails.
13. Termination
We may suspend or terminate your access for violation of these Terms or for conduct that harms the Services or others. On termination, your license ends and you must stop using the paid Services; sections that by their nature should survive (including Sections 2, 6, 10, 11, 12, and 14) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in New York for any dispute arising out of or relating to these Terms or the Services.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the “Effective date.” Your continued use of the Services after changes take effect constitutes acceptance.
